1. Scope of Work: The following terms and conditions govern the provision of graphic design services by Toru Wha. By accepting this quote, the Client agrees to be bound by these terms and conditions.
2. Project Specifications: The quote provided by Toru Wha is based on the project specifications provided by the Client. Any changes or additional requirements not included in the initial quote may result in adjustments to the final cost.
3. Extra Changes: The success of your project is our priority. Any changes requested by the Client beyond the scope of the initial quote will be communicated promptly and approved by the Client before proceeding. Additional changes will be billed at an hourly rate of $100.
4. Payment Terms: Payment for the Services shall be made in accordance with the payment schedule outlined in the quote. A deposit may be required before work commences, with the balance due upon completion of the project.
5. Ownership and Intellectual Property: Upon full payment, the Client shall own the final deliverables of the project. Toru Wha retains the right to display the project in their portfolio and marketing materials, unless otherwise agreed upon in writing.
6. Confidentiality: Toru Wha agrees to keep all Client information confidential and shall not disclose any confidential information to third parties without the Client's consent.
7. Termination: Either party may terminate the agreement at any time by providing written notice to the other party. In the event of termination, the Client shall pay for all Services provided up to the date of termination.
8. Liability: Toru Wha shall not be liable for any indirect, incidental, or consequential damages arising out of or relating to the Services provided, including but not limited to loss of profits or business interruption.
Entire Agreement: This agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
By accepting this quote, the Client acknowledges that they have read, understood, and agree to be bound by these terms and conditions.
